Securities: Class C Preferred Shares and Class D Preferred Shares

Minimum Subsctiption Amount: CAD $25,000

Subscription Price: CAD $10.00 per Share

Offering Size: There is no maximum or minimum offering size.

Target Returns:

Class C Preferred Shares - All proceeds from the issuance of Class C shares net of applicable fees and expenses shall be invested only in the C Share Fund.  Class C Share holders will be paid dividends only from the proceeds of the C Share Fund.  The C Share Fund will invest in Mortgages in Canada with a loan to value ratio not exceeding 100%.  Mortgages will generally range from 3 months to 2 years with interest rates ranging between 9% and 15% per annum.  C Share Fund will target mortgages with an 80% or lower LTV in first or second position if possible.  

Class D Preferred Shares - All proceeds from the issuance of Class D shares net of applicable fees and expenses shall be invested only in the D Share Fund.  Class D Share holders will be paid dividends only from the proceeds of the D Share Fund.  The D Share Fund will focus on Mortgages in Canada that are higher risk than that of the Class C Share Fund.  The D Share Fund will allow over 100% LTV, based on up to 70% of the post completion value of the property.  Terms of mortgages will range from 6 months to 3 years.  Interest rates will range from 12% to 18% per annum.  D Share Fund mortgages may be subordinate to other mortgages.  

Redemption Terms: Holders of Class C or Class D shares are entitled to redeem their shares at any time (subject to terms noted in Offering Memorandum section 5.1) and have the Corporation repurchase said shares at the redemption price plus all dividends declared and upaid, less any applicable discount.  Please see Offering Memorandum section 5.1 for more details.
